Item 2.02.          Results of Operations and Financial Condition.

On February 12, 2016, Ventas, Inc. (the “Company”) issued a press release announcing its results of operations for the quarter and year ended December 31, 2015.  A copy of the press release is furnished herewith as Exhibit 99.1 and incorporated in this Item 2.02 by reference.

Item 8.01.          Other Events.

On February 12, 2016, the Company also announced that its Board of Directors declared a regular quarterly dividend in the amount of $0.73 per share, payable in cash on March 31, 2016 to stockholders of record on March 7, 2016.  The dividend is the first quarterly installment of the Company’s 2016 annual dividend.
