RESULTS OF OPERATIONS AND FINANCIAL CONDITION. On February 6, 2007, Gartner, Inc. (the "Company") announced financial results for the quarter and twelve months ended December 31, 2006. A copy of the Company's press release is furnished as Exhibit 99.1. ITEM 8.01. OTHER EVENTS. On February 1, 2007, the Company's board of directors authorized up to $200 million for the repurchase of Gartner common stock. The program will replace the prior $100 million share repurchase program previously authorized. Repurchases will be made from time-to-time through open market purchases. Repurchases are subject to the availability of stock, prevailing market conditions, the trading price of the stock, the Company's financial performance and other conditions.
