Section 8.01 Other Events.
 
On August 23, 2007, the registrant, and Gerdau Ameristeel Corporation issued a joint press release announcing that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with the Agreement and Plan of merger signed by the registrant, Gerdau Ameristeel and certain other parties, expired at 11:59 p.m. Eastern Time on August 22, 2007 without action by either the Federal Trade Commission or the Department of Justice. A copy of that press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
