(b) On November 18, 2013, A.W. (Pete) Smith, Jr., age 70, retired from the Board of Directors of AllianceBernstein Corporation, general partner of AllianceBernstein L.P. and AllianceBernstein Holding L.P. (together, “AllianceBernstein”), in accordance with  AllianceBernstein’s Corporate Governance Guidelines.
