Explanatory Note

 

 

This Preliminary Proxy Statement on Schedule 14A will not be further amended, nor will DynaResource, Inc. (the “Company”) file a Definitive Proxy Statement on Schedule 14A.

 

In lieu thereof, the Company will file a Preliminary Information Statement on Schedule 14C, in connection with an Annual Meeting of Stockholders of the Company. No proxies will be solicited.

 

The Company does intend to convene the 2012 Annual Meeting of Stockholders of the Company, at a time, date and place to be announced.
