Item 8.01 Other Events.
On March 3, 2015, a complaint, captioned DePinto v. John S. Stafford, et al., C.A. No. 10742, was filed in the Court of Chancery of the State of Delaware against certain of the companys current and former directors on behalf of certain minority holders of the companys convertible preferred stock before its initial public offering (IPO). In general, the complaint alleges that the directors breached their fiduciary duties to these minority stockholders in connection with a recapitalization of the company that took place prior to its IPO. The complaint also claims that certain director and stockholder written consents connected with the recapitalization are invalid. The complaint has been brought as a purported class action and seeks unspecified monetary damages and other relief. The company believes that the class action lawsuit is without merit and intends to vigorously defend the action.
