ITEM 1.01   ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

ITEM 3.02   UNREGISTERED SALES OF EQUITY SECURITIES

On December 20, 2006, we completed a private placement of 13,000,000 shares of our common stock to institutional investors at $11.75 per share, resulting in gross proceeds of $152,750,000.  The proceeds, net of commissions, were $146,640,000.

We agreed to file a registration statement in order to register all 13,000,000 shares of common stock for resale and distribution under the 1933 Act within 30 calendar days after December 20, 2006, and cause the registration statement to be declared effective not later than 120 calendar days after December 20, 2006.

With respect to the sales of our common stock described above, we relied on the Section 4(2) exemption from securities registration under the federal securities laws for transactions not involving any public offering. No advertising or general solicitation was employed in offering the shares. The shares were sold to accredited investors. The shares were offered for investment purposes only and not for the purpose of resale or distribution, and the transfer thereof was appropriately restricted by us.
