Item 8.01.         Other Events.

On June 12, 2006, Hospitality Properties Trust (the “Company”) agreed to sell $275,000,000 aggregate principal amount of its 6.30% Senior Notes due 2016 (the “Notes”) in a public offering. The Notes are expected to be issued on June 15, 2006, and will be issued under a supplemental indenture to the Company’s indenture dated February 25, 1998. The Notes will be senior unsecured obligations of the Company and will have substantially the same covenants as the Company’s other outstanding senior unsecured notes issued under that indenture, except that the Company’s Total Unencumbered Assets/Unsecured Debt covenant applicable to the Notes requires it to  maintain Total Unencumbered Assets (as defined in the Supplemental Indenture) of at least 150% of Unsecured Debt (as so defined). The Company expects to use the estimated $271.9 million net proceeds from this offering to reduce amounts outstanding under the Company’s revolving bank credit facility. A prospectus supplement relating to the Notes will be filed with the Securities and Exchange Commission.
