Item 5. Other Events and Required FD Disclosure.
On April 6, 2004, LaBranche & Co Inc. announced that it intends to refinance a substantial portion of its outstanding indebtedness through the issuance of new senior notes. LaBranche & Co Inc. also announced that, as part of the refinancing, it has commenced a cash tender offer and consent solicitation for all of its outstanding 9½% Senior Notes due August 2004 and 12% Senior Subordinated Notes due March 2007. A copy of this press release is attached hereto as Exhibit 99.1.
