The annual report of the registrant on Form 10-K could not be timely filed because management requires additional time to compile and verify the data required to be included in the report.  The report will be filed within fifteen calendar days of the date the original report was due.

The Company anticipates that during the fiscal year ended September 30, 2013 total revenues will have increased approximately 34% compared to the fiscal year ended September 30, 2012.  This increase is attributable to increases in vessel, geophysical services and marine base revenues of approximately 3%, 122% and 29%, respectively.
 
The Company believes that total costs and operating expenses will have increased approximately 13% during the twelve months ended September 30, 2013.  This increase is principally related to an anticipated 111% increase in cost of geophysical service revenues and a 17% increase in general and administrative expense, which was only partially offset by a decrease in depreciation and amortization of approximately 19%.
 
The Company expects to realize a loss from operations for the year ended September 30, 2013 of approximately $3.2 million compared to loss from operations of approximately $7.2 million during the year ended September 30, 2012. This decrease in loss from operations is largely attributable to increases in vessel, geophysical services and marine base revenues, which outpaced the increase in the cost of geophysical services.
 
During fiscal 2013, the Company anticipates realizing a net loss attributable to Caspian Services of approximately $11 million, compared to a net loss attributable to Caspian Services of $14 million, during fiscal 2012.  The Company anticipates realizing total comprehensive loss of $11.6 million during fiscal 2013 compared to $14.8 million during fiscal 2012.
