Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

At the meeting of the Board of Directors of United Fire & Casualty Company held on August 15, 2008, the directors approved certain amendments of United Fire & Casualty Company’s Bylaws. The amendment is effective August 15, 2008.

 

Section 3 of Article II was amended to allow special meetings of the Board of Directors to be held at the call of the Chairman, the Vice Chairman, the President in the absence of the Chairman and Vice Chairman, or the Secretary on the written request of any two directors, (a) by giving at least two (2) days written notice thereof by ordinary mail to the last known address of each director or (b) by giving notice by telephone, facsimile or other electronic transmission not less than twenty-four (24) hours before the meeting.

 

Section 5 of Article II was amended to increase the mandatory retirement age for members of the Board of Directors first elected after August 12, 1988 from 70 to 72.
