ITEM 7.01 REGULATION FD DISCLOSURE
On January 23, 2018, Toys “R” Us, Inc. (the “Company”) posted certain consolidated operations data and balance sheet items regarding the business of TRU Taj LLC, an indirect subsidiary of the Company (the “Issuer”), and its subsidiaries in accordance with Section 4.03(c)(1) of the indenture, dated as of September 22, 2017, by and among the Issuer, TRU Taj Finance, Inc., as the co-issuer, the Company, as a parent guarantor, the additional guarantors party thereto, and Wilmington Fund Savings Society, FSB, as trustee and collateral trustee, and as amended from time to time, on a secure website to which access will be given to holders of the Issuer’s 11% Senior Secured ABL DIP Notes (the “Notes”), prospective investors in the Notes, broker-dealers, securities analysts and market-making financial institutions, in each case who agree to (1) treat all such information as confidential, (2) not use such information for any purpose other than their investment or potential investment in the Notes and (3) not publicly disclose or distribute any such information.
