Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On January 12, 2005, the Board of the Directors of Citizens Bancorp of Virginia, Inc. (the “Company”) elected William E. Doyle, Jr. as a director. The Company and Mr. Doyle, who serves as the Company’s President and Chief Executive Officer, have agreed that he will serve as a director while he is an employee of the Company. Mr. Doyle currently has an employment agreement with the Company that provides for his employment until May 31, 2005. The employment agreement provides for discussions between the Company and Mr. Doyle in April or May 2005 with respect to the continuation of his employment beyond that date.
